Summary of Changes
These Terms replace the September 2009 Terms of Use and have been rewritten to reflect the current SourceAudio Platform, network-wide User accounts, Branded Workspaces, online licensing and purchases, modern security and acceptable-use requirements, and SourceAudio's current privacy and international-data practices.
Welcome to SourceAudio
These Terms and Conditions (the "Terms") govern your access to and use of the websites, applications, branded workspaces, account services, music search, licensing, distribution, delivery, and related services provided through the SourceAudio platform (collectively, the "Platform") by SourceAudio Holdings LLC ("SourceAudio", "we", "us", or "our").
By creating or using a SourceAudio account, logging in to the Platform, or otherwise using the Platform, you ("User", "you", or "your") agree to these Terms. If you do not agree, you may not create an account or use the Platform.
The Platform is intended primarily for professional and business-related use. You must be at least 18 years old to create an account or use the Platform.
If you create, purchase, or administer a Branded Workspace on behalf of a company or organization, the SourceAudio Branded Workspace Terms and Conditions also apply. If those terms conflict with these Terms with respect to administration of a Branded Workspace, the Branded Workspace Terms control.
1. SourceAudio Network Accounts
A SourceAudio account is a network-wide account maintained by SourceAudio and is not exclusive to any particular Branded Workspace. You may use the same SourceAudio account to access multiple Branded Workspaces that you choose to join, subject to the access rules established by the applicable Client.
You are responsible for providing accurate account information, maintaining the confidentiality of your credentials, and promptly notifying SourceAudio if you believe your account has been accessed without authorization. You may not share credentials in a manner that circumvents account, seat, security, or access restrictions.
2. Branded Workspaces and Clients
SourceAudio hosts branded workspaces ("Branded Workspaces") for companies and organizations ("Clients"). A Client controls the content, services, functionality, access rules, and additional information it requests through its Branded Workspace.
When you proactively join or interact with a Branded Workspace, Personal Information associated with your account and your activity in that Branded Workspace may be made available to the applicable Client as described in the SourceAudio Privacy Policy. Your Personal Information will not be provided to Clients whose Branded Workspaces you have not proactively joined, except where otherwise permitted or required by law.
A Client may provide its own privacy notice, license terms, transaction terms, submission rules, or other policies applicable to its Branded Workspace. Those Client terms are between you and the Client and may supplement these Terms. They do not alter SourceAudio's obligations under these Terms or the SourceAudio Privacy Policy unless SourceAudio expressly agrees in writing.
3. Permitted Use
Subject to these Terms, SourceAudio grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for its intended purposes during the period in which you are authorized to do so.
Your right to use the Platform does not grant you any ownership right in the Platform, music, recordings, compositions, artwork, metadata, trademarks, software, or other content made available through the Platform.
4. Acceptable Use
You will not:
- impersonate another person or misrepresent your identity, affiliation, or authority;
- access or attempt to access accounts, systems, data, or Branded Workspaces without authorization;
- circumvent security, technical, download, licensing, usage, account, or access restrictions;
- interfere with, disrupt, overload, probe, scan, or test the vulnerability of the Platform except with SourceAudio's express written authorization;
- introduce malware, malicious code, or harmful material;
- scrape, harvest, collect, or use information about other Users except as expressly permitted by SourceAudio, the applicable Client, and applicable law;
- use bots, automated systems, or bulk-access tools in a manner not expressly authorized by SourceAudio;
- upload, transmit, license, distribute, or otherwise use content in a manner that infringes intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;
- use the Platform for unlawful, fraudulent, deceptive, abusive, harassing, or harmful activity; or
- resell, sublicense, copy, reverse engineer, or commercially exploit the Platform except as expressly authorized by SourceAudio or applicable law.
5. Music and Other Platform Content
Music, recordings, compositions, artwork, metadata, and other content available through the Platform may be owned or controlled by Clients, music representatives, rights owners, rights administrators, licensors, or other third parties. SourceAudio does not necessarily own or control that content.
Unless expressly stated otherwise, previewing, streaming, searching, downloading for evaluation, or otherwise accessing content through the Platform does not grant you a license to synchronize, reproduce, distribute, publicly perform, publicly display, adapt, exploit, or otherwise use the content outside the Platform.
A license or other authorization must be obtained from the applicable rights holder, Client, administrator, or SourceAudio where SourceAudio is authorized to issue it. The specific license or transaction terms provided for a piece of content control the rights granted for that transaction. You are responsible for complying with all restrictions, reporting obligations, payment obligations, and usage terms associated with a license.
6. Purchases, Licenses, and Paid Services
The Platform may allow you to purchase licenses, subscriptions, file-delivery services, ISRCs, or other products or services from SourceAudio or a Client. Prices, taxes, refund rights, license scope, and other transaction-specific terms may vary and will be presented or incorporated into the applicable transaction.
Payment processing may be provided by a third-party payment processor. You agree to provide accurate billing information and authorize charges you submit through the Platform. SourceAudio does not obtain rights in licensed music beyond the rights held or administered by SourceAudio or the applicable Client or rights holder.
Additional optional programs or services may be subject to additional terms. By electing to participate in such a program, you agree to the applicable additional terms.
7. User Content and Submissions
The Platform may allow you to upload, submit, send, or otherwise provide music, files, metadata, messages, artwork, documents, or other material ("User Content"). You retain whatever ownership rights you have in your User Content.
You grant SourceAudio, and where necessary the Client whose Branded Workspace you are using, a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, format, transcode, process, and otherwise use User Content solely as reasonably necessary to provide the Platform, perform the functionality you request, administer the applicable Branded Workspace, secure and support the Platform, and comply with law.
You represent and warrant that you have the rights and permissions necessary to provide the User Content and to grant the rights described above. You remain responsible for User Content you provide and for complying with any Client-specific submission requirements.
If you voluntarily provide SourceAudio with product suggestions, feature ideas, or other feedback about the Platform, SourceAudio may use that feedback without restriction or compensation, provided that this does not give SourceAudio ownership of music, files, confidential business information, or other User Content submitted for use through the Platform.
8. Privacy
SourceAudio's collection, use, disclosure, retention, international transfer, and protection of Personal Information are described in the SourceAudio Privacy Policy, which is incorporated into these Terms by reference for purposes of describing SourceAudio's privacy practices.
SourceAudio is based in the United States and operates a network-wide account system. Personal Information may be processed in the United States and other countries as described in the Privacy Policy. SourceAudio relies on the international-transfer mechanisms and safeguards described in the Privacy Policy where applicable; your agreement to these Terms is not intended to substitute for a legally required international-transfer mechanism.
9. Security
SourceAudio takes reasonable measures designed to protect the Platform and Personal Information from unauthorized access, disclosure, alteration, or destruction. No online service can guarantee absolute security. You are responsible for using reasonable care with your credentials, devices, downloads, and communications and for notifying SourceAudio promptly of suspected account compromise.
10. SourceAudio Intellectual Property
SourceAudio and its licensors own all right, title, and interest in the Platform, including its software, interfaces, designs, technology, documentation, trademarks, service marks, and other SourceAudio materials, excluding content owned by Clients, Users, or other third parties.
SOURCEAUDIO and related names, logos, and marks may not be used without SourceAudio's prior written permission except as permitted by law.
11. Third-Party Services and Links
The Platform may contain links to or integrations with third-party websites, applications, payment processors, analytics tools, or other services. SourceAudio does not control third-party services that are independently provided by others and is not responsible for their content, availability, terms, or privacy practices. Your use of a third-party service may be subject to that third party's terms.
12. Changes to the Platform
SourceAudio may update, improve, modify, suspend, or discontinue aspects of the Platform from time to time. We may also impose reasonable technical, security, storage, usage, or access limits. Where a change materially affects a paid service you purchased directly from SourceAudio, any applicable subscription, Order, or program-specific terms will also apply.
13. Suspension and Termination
SourceAudio may suspend or terminate your access where reasonably necessary because of a material violation of these Terms, unlawful activity, infringement, fraud, security abuse, nonpayment of amounts you owe SourceAudio, a legal requirement, or activity that creates a material risk to the Platform, SourceAudio, Clients, or other Users.
A Client may separately remove or restrict your access to that Client's Branded Workspace. Removal from one Branded Workspace does not necessarily terminate your SourceAudio network account.
You may request deletion of your SourceAudio account as described in the Privacy Policy. Account deletion and termination of access are subject to lawful retention requirements, including records relating to purchases, licenses, tax, accounting, security, fraud prevention, disputes, and contractual obligations. SourceAudio does not control copies of Personal Information independently retained by Clients or other third parties.
14. Copyright and Rights Complaints
If you believe material available through the Platform infringes your copyright or other rights, please contact SourceAudio at info@sourceaudio.com with sufficient information to identify the material, the right you claim, and how we may contact you. SourceAudio may remove or restrict access to material where reasonably appropriate and may refer the matter to the applicable Client or rights holder.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE." SOURCEAUDIO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.
SOURCEAUDIO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT CONTENT MADE AVAILABLE BY CLIENTS OR OTHER THIRD PARTIES WILL BE ACCURATE, AVAILABLE, NON-INFRINGING, OR SUITABLE FOR YOUR PARTICULAR PURPOSE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOURCEAUDIO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOURCEAUDIO'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID DIRECTLY TO SOURCEAUDIO FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot legally be limited or excluded, and they do not limit any mandatory rights you may have under applicable consumer law.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SourceAudio and its affiliates, officers, directors, employees, and agents from third-party claims, liabilities, damages, costs, and reasonable attorneys' fees arising from User Content you provide, your infringement or violation of another person's rights, your unlawful or unauthorized use of the Platform, or your material breach of these Terms.
18. Changes to These Terms
SourceAudio may update these Terms from time to time to reflect changes in the Platform, business practices, legal requirements, security needs, or other legitimate reasons. When changes materially affect Users' rights or obligations, SourceAudio will provide reasonable notice by email, through the Platform, or by another reasonable method before the changes take effect, except where a shorter period is reasonably necessary for legal, regulatory, or security reasons.
Where appropriate, including for material changes, SourceAudio may require you to affirmatively accept updated Terms before continuing to use the Platform. Where affirmative acceptance is not required, your continued use of the Platform after updated Terms become effective constitutes acceptance to the extent permitted by law. If you do not agree to materially revised Terms, you must stop using the Platform. Changes to the Terms do not retroactively alter a separately executed music license, Order, or other agreement except as that agreement permits.
19. Governing Law and Disputes
To the extent permitted by applicable law, these Terms are governed by the laws of the State of California, without regard to conflicts-of-law principles. Any dispute not subject to another binding agreement between you and SourceAudio will be brought in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction to the extent permitted by law.
Nothing in these Terms deprives you of mandatory rights, remedies, or forum protections that cannot be waived under the law applicable to you. A dispute governed by the Branded Workspace Terms, a separate Order, a license agreement, or a legally mandated privacy dispute-resolution process will instead be handled under the applicable agreement or process.
20. General
If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable or severed if modification is not possible, without affecting the remaining provisions. SourceAudio's failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without SourceAudio's consent, except where applicable law provides otherwise. SourceAudio may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all relevant assets.
These Terms, together with the Privacy Policy, applicable Branded Workspace Terms, transaction or license terms, optional-program terms, and other documents expressly incorporated by reference, constitute the applicable agreement for your use of the Platform. Where specific terms apply to a particular transaction, program, or Branded Workspace role, those specific terms control for that subject matter.
